End User License Agreement (EULA) — Linked24.io 

IMPORTANT: READ THIS AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE.

This End User License Agreement (“EULA”) is a legal agreement between you (either an individual or a single legal entity) (“You”) and Linked24.io (“Linked24”, “we”, “us”, or “our”), operated by Bit24, LLC (Delaware LLC), for the Linked24 Buttons software product, including any associated media, printed materials, and online or electronic documentation (collectively, the “Software”).

By installing, copying, accessing, or otherwise using the Software, You agree to be bound by the terms of this EULA. If You do not agree to the terms of this EULA, do not install, access, or use the Software.

1. GRANT OF LICENSE

Subject to Your compliance with this EULA, Linked24 grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Software under the following conditions:

Installation and Use: You may install and use the Software on Your devices for Your internal business or personal use, as applicable.

Backup Copies: You may make copies of the Software solely for backup and archival purposes.

2. RESTRICTIONS

Except as expressly permitted by this EULA or applicable law, You may not:

Distribute copies of the Software to any third party.

Reverse engineer, decompile, or disassemble the Software, or attempt to derive the source code, underlying ideas, algorithms, structure, or organizational form of the Software.

Rent, lease, lend, sell, assign, sublicense, or transfer the Software or this EULA to any third party.

Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on or in the Software.

3. OWNERSHIP

The Software is licensed, not sold. The Software and all associated intellectual property rights are owned by Linked24 and/or its licensors and are protected by applicable copyright and international treaty provisions.

All rights not expressly granted to You in this EULA are reserved by Linked24.

4. UPDATES

Linked24 may provide updates, patches, bug fixes, or new versions from time to time. These updates may be installed automatically or require manual installation and may be necessary to maintain compatibility, security, or functionality. Unless accompanied by a separate license, any update is governed by this EULA.

5. TERMINATION

This EULA is effective until terminated.

Your rights under this EULA will terminate automatically without notice if You fail to comply with any term(s) of this EULA. Linked24 may terminate this EULA at any time.

Upon termination, You must stop using the Software and destroy all copies of the Software in Your possession or control.

6. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LINKED24 EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LINKED24 BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. GOVERNING LAW AND JURISDICTION

This EULA will be governed by the laws of Andorra, without regard to its conflict of laws principles. Any dispute arising under or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts located in Andorra.
